Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Papi AI mobile application and the website at papiai.co (together, the “Service”), operated by AI Labs LLC, a limited liability company organized in [STATE] (EIN [AI LABS LLC EIN]) (“AI Labs LLC,” “we,” “us,” or “our”). By using the Service, you agree to these Terms.

1. Acceptance

By downloading, installing, or using Papi AI, you confirm that you have read, understood, and accept these Terms. If you do not agree, do not use the Service.

2. License

Subject to these Terms, AI Labs LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded devices that you own or control, solely for your personal, non-commercial use.

3. Age requirement

You must be at least 17 years old to use the Service. By using the Service, you represent that you meet this requirement. The Service contains discussion of mature topics and is not appropriate for minors.

4. Nature of the Service

Papi AI is an AI-powered conversation assistant designed to help adults communicate in dating and social contexts. AI suggestions may be inaccurate, contextually wrong, culturally insensitive, or offensive. You are solely responsible for reviewing and editing every message before you send it to a third party. AI Labs LLCis not liable for outcomes of conversations you conduct with third parties using suggestions generated by the Service.

5. Prohibited use

You agree not to use the Service to:

• Harass, threaten, stalk, defame, or intimidate any person.
• Generate sexually explicit content involving minors or non-consenting individuals.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Manipulate, deceive, defraud, or extort other people.
• Engage in any illegal activity or violate any applicable law.
• Reverse-engineer, decompile, scrape, or otherwise attempt to extract source code or model weights from the Service.
• Use the Service to build a competing product.
• Submit content that infringes the intellectual property or privacy rights of any third party.

6. In-app purchases and subscriptions

Papi AI offers the following paid plans through Apple in-app purchase:

• Weekly subscription — $3.99 / week (3-day free trial). Subscription begins with a 3-day free trial. After the trial, your Apple ID is charged $3.99 per week and auto-renews each week until you cancel.
• Lifetime — $29.99 one-time. A one-time payment unlocks unlimited use of all features for the lifetime of the Service. Non-recurring.

Subscriptions auto-renew unless canceled at least 24 hours before the end of the current billing period. Manage or cancel subscriptions in iPhone Settings → your Apple ID → Subscriptions. Refunds are handled exclusively by Apple under Apple’s Media Services Terms; AI Labs LLC cannot issue refunds for App Store purchases. To request a refund, visit reportaproblem.apple.com.

7. User content

You retain ownership of all messages, screenshots, voice recordings, and photos you submit to the Service (“User Content”). You grant AI Labs LLC a limited license to process User Content solely to provide the Service to you.AI Labs LLC does not use User Content to train AI models, does not sell User Content, and does not use User Content for advertising.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.AI Labs LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI SUGGESTIONS WILL BE ACCURATE, APPROPRIATE, OR EFFECTIVE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AI LABS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED FIFTY U.S. DOLLARS ($50.00) OR THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

10. Governing law and dispute resolution

These Terms are governed by the laws of the State of [STATE], USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and AI Labs LLC agree to waive any right to a jury trial and any right to participate in a class action. Notwithstanding the foregoing, either party may bring an individual action in small-claims court.

11. Changes; termination; contact

We may modify these Terms at any time. Material changes will be announced in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms.
